These Terms and Conditions (hereinafter, the "Terms") govern the access and use of the website kipohytr.com (hereinafter, the "Site") operated by Kipohytr S.A.S. (hereinafter, "Kipohytr" or "we"), a company incorporated under the laws of the Republic of Ecuador, with registered address in Quito and RUC 1792456789001. By accessing or using the Site, you agree to be bound by these Terms.
1. Nature of Service
Kipohytr operates an informational and intermediation platform for real estate crowdlending. The Site provides information about real estate projects and allows users to express their interest in participating as lenders. Kipohytr is not a financial institution regulated by Ecuador's Superintendencia de Bancos and does not accept public deposits. All investments made through the platform are formalized through individual contracts between the investor and the borrower.
2. Usage Requirements
To use Kipohytr's services, you must: (a) be at least eighteen (18) years old; (b) have legal capacity to enter into binding contracts under Ecuadorian law; (c) provide truthful, current, and complete information; (d) not use the Site for illegal purposes or contrary to these Terms. We reserve the right to suspend or cancel access for users who breach these conditions.
3. Information and Non-Advice
The information provided on the Site, including estimated returns, project analyses, and educational content, is for informational purposes only and does not constitute financial, legal, or tax advice. Investment decisions are the sole responsibility of the user. We recommend consulting with a qualified financial advisor before making any investment decision.
4. Investment Risks
Real estate crowdlending carries significant risks, including but not limited to: (a) total or partial default risk; (b) illiquidity risk; (c) depreciation risk of the underlying asset; (d) regulatory risk; (e) market risk. Past returns do not guarantee future results. You may lose part or all of your investment. You should only invest capital you are willing to lose.
5. Intellectual Property
All content on the Site, including texts, graphics, logos, images, software, and their compilation, is the property of Kipohytr S.A.S. or its licensors and is protected by Ecuador's intellectual property laws and international treaties. Reproduction, distribution, modification, or commercial use of the content without express written authorization is prohibited.
6. Limitation of Liability
Kipohytr provides the Site "as is" and "as available." We do not guarantee that the Site will be free from errors, interruptions, or viruses. To the maximum extent permitted by Ecuadorian law, Kipohytr shall not be liable for direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Site, including investment losses.
7. Data Protection
The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Site, you acknowledge and accept our Privacy Policy and Cookie Policy.
8. Applicable Law and Jurisdiction
These Terms are governed and interpreted in accordance with the laws of the Republic of Ecuador. For any dispute arising from the use of the Site, the parties submit to the competent courts of the city of Quito, expressly waiving any other jurisdiction that may correspond.
9. Dispute Resolution
Before resorting to legal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of thirty (30) days. If no agreement is reached, the parties may submit the dispute to mediation before the Mediation Center of the Quito Chamber of Commerce, in accordance with its current regulations.
10. Modifications
Kipohytr reserves the right to modify these Terms at any time. Modifications will take effect from their publication on the Site. Continued use of the Site after publication of modifications constitutes your acceptance of the new Terms. We recommend reviewing this page periodically.
